Libertarian Party of Linn County Bylaws & Resolutions

Article I — Name and Affiliation
The name of this organization shall be the Libertarian Party of Linn County, hereinafter referred to as the LPLC.
The LPLC is a county affiliate of the Libertarian Party of Oregon and shall operate in full compliance with the Constitution, bylaws, standing rules, and policies of the Libertarian Party of Oregon, as well as applicable Oregon law.
The geographic scope of the LPLC and its activities shall be Linn County, Oregon, except where otherwise permitted by governing documents of the Libertarian Party of Oregon.
Article II — Purpose
1 Recruit and support Libertarian and libertarian aligned candidates to secure election or appointment to public office.
2 Advance libertarian policy through support for or opposition to ballot measure campaigns, ordinances, resolutions, and statutes.
3 Advance libertarian policy through advocacy and communication with public officials, boards, and governing bodies.
4 Expand the influence of the LPLC and the Libertarian Party of Oregon within Linn County through voter outreach, field work, and community engagement.
5 Organize, mobilize, and support registered Libertarians and libertarian aligned individuals in Linn County to advance the political objectives of the LPLC.
Activities relating to social events, education, or ideological discussion may occur, but such activities shall remain secondary to the political purposes described above.
Article III — Membership
Membership in the LPLC shall consist of Registered Members, Regular Members, and Honorary Lifetime Members of the Libertarian Party of Oregon whose primary residence is in Linn County or who are registered to vote in Linn County.
Regular Members and Honorary Lifetime Members in good standing may vote in LPLC business conventions and may hold LPLC office.
Registered members of the Libertarian Party of Oregon who are also LPLC members may vote in candidate nominating conventions conducted by the LPLC and may attend regular membership meetings and participate in LPLC community events and activities.
Article IV — Officers
The officers of the LPLC shall be Chair, Vice Chair, Secretary, and Treasurer.
Officers shall be elected annually by the membership at the LPLC Annual Business Convention and shall serve one year terms.
A term of office shall begin upon the sine die adjournment of the Annual Business Convention at which officers are elected and shall end upon the sine die adjournment of the following Annual Business Convention.
Article V — Executive Committee
The Executive Committee shall consist of the elected officers and up to four At Large Members, all elected at the Annual Business Convention. The LPLC executive committee retains the right to call special elections for unexpected vacancies of board and executive committee seats to maintain operational functionality. Notice of 7 business days prior is required in such instances to the full executive committee.
All Executive Committee members shall serve one year terms concurrent with the officer terms.
The Executive Committee shall manage the affairs of the LPLC between meetings when action is required that cannot reasonably wait until the next meeting of the membership and when such action serves one or more of the purposes listed in Article II.
Article VI — Meetings
The LPLC shall hold an Annual Business Convention during the month of May.
Regular meetings of the LPLC may be held throughout the year as determined by the Executive Committee.
Meetings of the Executive Committee shall occur at least once every ninety days, and immediately following the conclusion of each Annual Business Convention.
A quorum for Executive Committee meetings shall consist of a simple majority of the Executive Committee.
A quorum for Annual Business Conventions shall consist of a majority of all regular members.
Article VII — Finances
The Treasurer shall maintain accurate financial records and shall present financial reports to the membership at each Annual Business Convention and to the Executive Committee at its meetings.
No debt shall be incurred by the LPLC without approval of the Executive Committee.
Article VIII — Nominations
When authorized by the Libertarian Party of Oregon, the LPLC may conduct nomination processes for partisan elected offices in accordance with state law and the rules of the Libertarian Party of Oregon.
Article IX — Amendments
These bylaws may be amended by a two thirds vote of members present at a duly called LPLC Annual Business Convention.
All amendments must remain consistent with the governing documents, standing rules, and platform of the Libertarian Party of Oregon.
Article X — Dissolution
The LPLC may be dissolved by a two thirds vote of members participating in an Annual Business Convention.
No motion to dissolve the organization shall be valid until all financial obligations of the LPLC have been settled in full.
Upon dissolution, all remaining assets shall be transferred to the Libertarian Party of Oregon.
Article XI — Dispute Resolution
Any dispute concerning the interpretation of these bylaws or any rule, resolution, or action of the LPLC may be resolved by the Judicial Committee of the Libertarian Party of Oregon.
A dispute may be referred to the Judicial Committee by submitting written documentation describing the dispute, signed by at least three members of the LPLC Executive Committee or ten members of the LPLC, to the Chair of the Libertarian Party of Oregon and the LPO Judicial Committee.
The decision of the Judicial Committee shall be final.
Article XII — Parliamentary Authority
Robert's Rules of Order Newly Revised shall be the parliamentary authority governing the LPLC in all matters not specifically addressed in these bylaws or in governing documents of the Libertarian Party of Oregon.
Article XIII — Autonomy of the Affiliate
The Libertarian Party of Linn County shall retain full authority over its internal governance, officer elections, meetings, and activities, provided that such actions do not conflict with the Constitution and bylaws of the Libertarian Party of Oregon or applicable law.
Nothing in these bylaws shall be interpreted to grant the Libertarian Party of Oregon authority to appoint officers, overturn officer elections, or otherwise manage the routine internal affairs of the Libertarian Party of Linn County except where necessary to maintain formal affiliation under state party rules.
